1. Agreement to Terms

By accessing or using Cartkite, you agree to be bound by these Terms & Conditions. This contract is a binding legal agreement between you and Venture Brightly Pty Ltd Pty Ltd (ABN: 91 674 164 811) ("we," "us," or "our"), the operating entity of Cartkite registered in Victoria, Australia. If you do not agree to these terms, you must not create an account or use the service.

2. Account Use and Registration

• You must provide a valid email address to register an account via our secure authentication provider.
• You are solely responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.
• We reserve the right to restrict, suspend, or terminate accounts that abuse system infrastructure, bypass automated controls, or engage in high-frequency automated script spamming.

3. User-Directed Wishlist & Active Tracking Toggles

• User-Directed Agent: Cartkite does not operate as an uninvited indexer or broad public web scraper. Our tools function strictly as an automated technical agent operating on your explicit instructions. The application only fetches and processes web markup from specific merchant URLs that you manually add to your list.
• The List and Toggle Architecture: Cartkite separates list storage from active automated checking. Free tiers include unlimited wishlist capacity for manual storage. Background price tracking is restricted to a limited number of concurrent active "toggles" by account tier: Free (3 items), Premium (10 items), and Pro (100 items). Account-level overrides may apply.
• System Resource Governors: To preserve server stability and manage API overhead, we reserve the right to automatically toggle active items to an "Inactive" status if the target URL returns consistent errors (e.g. 404/500), blocks automated requests, or exhibits no price modifications for 60 consecutive days.

4. Subscriptions, Payments, and Paid Tiers

• Premium Upgrades: We offer paid premium subscription tiers to expand active tracking link allocations, increase checking frequencies, and activate priority background queues.
• Billing and Autorenewal: Paid subscriptions are handled securely via third-party gateways (e.g. Stripe). Subscriptions automatically renew at the start of each billing cycle unless explicitly cancelled through your dashboard settings before your renewal date.
• Refund Policy: To the maximum extent permitted by law, all subscription fees are non-refundable.

5. Affiliate and Third-Party Merchant Links Disclosure

• Monetization Framework: Cartkite is funded through user subscriptions and automated e-commerce commission networks. When you click an outbound product link from your Cartkite dashboard or a price-drop email alert, the URL may be dynamically modified, wrapped, or routed through an intermediate affiliate aggregator network (such as Skimlinks, Amazon Associates, or equivalent partners).
• Zero Cost to User: If you complete a transaction at a merchant storefront after clicking an affiliate link routed by us, Cartkite may receive a micro-commission from that retailer. This transaction occurs at zero additional cost to you.
• No Affiliation or Endorsement: Cartkite is an independent software tool. We are not endorsed by, partnered with, or legally affiliated with the third-party merchants, brands, or online storefronts whose links you choose to save. All trademarks, logos, and product metadata remain the absolute property of their respective copyright holders.

6. System Availability, Scraping Limitations, and Disclaimers

• No Accuracy Guarantees: Cartkite relies on automated cloud browser automation, network proxies, and generative artificial intelligence models (including Firecrawl, Browserless, and OpenAI) to extract unstructured pricing text from public storefronts. Retail website markup changes frequently, and merchants deploy anti-bot protections. We do not guarantee 100% accurate, continuous, error-free, or instantaneous price reporting.
• No Financial Liability: Cartkite is an informational helper utility. You agree to manually verify all prices on the merchant's official checkout screen before making a purchase. You agree not to hold us financially liable for missed flash sales, out-of-stock items, price data discrepancies, or financial choices resulting from delayed or faulty alert deliveries.
• As-Is Provision: We provide the application on an "as is" and "as available" basis without express warranties of any kind.

7. Australian Consumer Law Guardrail & Limitation of Liability

• Consumer Guarantees: Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, condition, warranty, right, or remedy implied by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or equivalent local consumer legislation which cannot be lawfully contractually excluded.
• Limitation of Liability: Subject to the consumer protection protections above, Venture Brightly Pty Ltd Pty Ltd, its directors, and its underlying technology providers shall not be held liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, retail buying opportunities, or data arising out of your use or inability to use the platform.

8. Governing Law and Jurisdiction

These terms are governed by and construed in accordance with the laws of Victoria, Australia. You irrevocably submit to the non-exclusive jurisdiction of the courts of Victoria and any courts hearing appeals from them to resolve any legal disputes.
